The commercial and delivery terms that govern MAG Centre engagements, from scope and intellectual property through to service levels and dispute resolution.

Agreement to terms

These Terms of Service constitute a legally binding agreement between MAG Centre ("we", "us", "our"), located at S 24-246, Sahara Shopping Centre, Lucknow 226016, Uttar Pradesh, India, and the client organisation or authorised representative ("Client", "you", "your") engaging our engineering services.

By accessing this website, commissioning technical assessments, approving a project proposal, or using our managed IT and cloud services, you confirm that you have read, understood and agree to be bound by these terms. They apply alongside any executed Statement of Work (SOW) or Master Services Agreement (MSA).

Scope of professional services

MAG Centre provides enterprise technology infrastructure and custom software engineering across six practices:

Specific project timelines, deliverables, test criteria and milestones are formalised in a written Statement of Work.

Client responsibilities & system access

To allow safe and efficient execution of technical deliverables, the Client agrees to:

  • Provide authorised, least-privilege administrative access to the servers, repositories and network appliances necessary to perform agreed duties.
  • Warrant that all software, data, codebases and systems furnished to MAG Centre are legally owned or appropriately licensed by the Client.
  • Designate a primary technical contact empowered to review deliverables, approve production release windows and sign off milestone completions.
  • Refrain from requesting actions that deliberately compromise system security, violate statutory regulations, or breach third-party intellectual property rights.

Intellectual property & code ownership

Custom deliverables. On receipt of full and final payment under an applicable Statement of Work, all bespoke source code, database architectures, interface designs and documentation developed specifically for the Client transfer to the Client as exclusive property.

Pre-existing tools and utilities. MAG Centre retains all right, title and interest in its proprietary internal automation scripts, deployment pipelines, boilerplate libraries and configuration templates developed independently of a specific engagement. The Client receives an irrevocable, non-exclusive, perpetual licence to use such integrated utilities as part of the delivered system.

Open-source components. Delivered software may incorporate open-source libraries such as React, Node.js, Linux and PostgreSQL. Those components remain governed by their respective open-source licences (MIT, Apache 2.0, BSD).

Service levels & support response

For clients subscribed to active Managed IT Support or Operations contracts, MAG Centre commits to the following incident response targets:

Response targets are commitments to begin work, not resolution guarantees, which necessarily depend on the nature of the incident.

Confidentiality & non-disclosure

Both parties agree to treat all business information, architectural diagrams, proprietary algorithms, financial terms and customer data disclosed during an engagement as strictly confidential.

Neither party shall disclose, reproduce or distribute confidential information to third parties without prior written consent, except to authorised employees or subcontractors bound by equivalent non-disclosure duties.

Commercial terms, fees & invoicing

All fees for services rendered are stipulated in individual project proposals or Master Services Agreements:

  • Fixed-price milestones. Discrete deliverables are invoiced on completion and Client acceptance of defined milestones.
  • Managed IT retainers. Recurring support agreements are billed monthly in advance, payable within standard net-15 or net-30 terms.
  • Taxes. Fees are subject to applicable Goods and Services Tax in India or other statutory commercial levies.

Warranties & limitation of liability

MAG Centre warrants that all engineering work will be performed in a professional, workmanlike manner consistent with prevailing industry standards.

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special or consequential damages, including lost profits, operational interruption or loss of business opportunity. In all events, MAG Centre's aggregate liability is capped at the total fees paid by the Client under the specific Statement of Work giving rise to the claim during the preceding six months.

Term, suspension & clean transition

Either party may terminate an ongoing services contract on thirty (30) days written notice, or immediately in the event of an uncured material breach.

On conclusion, MAG Centre coordinates an orderly transition: returning client credentials, transferring documentation and repository rights, and decommissioning cleanly without service interruption.

Governing law & dispute resolution

This agreement and any disputes arising out of or related to its execution are governed by and construed in accordance with the laws of the Republic of India.

The parties irrevocably agree that the competent courts situated in Lucknow, Uttar Pradesh, India have exclusive jurisdiction over any claim, dispute or proceeding arising under or in connection with these terms.
